Terms of Use

. General Provisions

1.1. These Terms of Use (hereinafter – the "Terms") govern the use of the website located at https://unigeniq.com (hereinafter – the "Site") and establish the rules of interaction between the Limited Liability Company "MEDIK" (hereinafter – the "Operator", "Administration", "We", "Us") and any person using the Site (hereinafter – the "User", "You").

1.2. Use of the Site (including, but not limited to: viewing pages, submitting forms, placing orders, registration) constitutes your full and unconditional acceptance of these Terms. If you do not agree with any provision of the Terms, you must immediately cease using the Site.

1.3. These Terms constitute a legally binding agreement and may be unilaterally amended by the Operator without prior notice. The new version of the Terms becomes effective upon its publication on the Site. Continued use of the Site after any changes constitutes your acceptance of the new version.

2. Terms and Definitions

For the purposes of these Terms, the following terms shall have the meanings set forth below:

  1. Site – an internet resource located at https://unigeniq.com, including all its sections and subdomains, providing information about the Operator's goods and the opportunity to purchase them.
  2. Goods – medical devices (including Ivory Dentin Graft™), consumables, and other products offered for sale on the Site.
  3. Operator / Administration / We / Us – Limited Liability Company "MEDIK", whose details are specified in Section 10 of these Terms.
  4. User / You – any individual or legal entity accessing the Site and using its functionality.
  5. Feedback Form – a special section on the Site intended for sending messages from the User to the Operator.
  6. Order – a request for the purchase of Goods duly completed by the User on the Site and transmitted to the Operator.

3. Subject Matter of the Agreement

3.1. The Operator grants the User the right to free use of the Site within the limits of its functionality, namely for:

  1. reviewing information about the Goods and their characteristics;
  2. receiving consultations and sending inquiries via Feedback Forms;
  3. placing Orders for Goods.

4. Rights and Obligations of the Parties

4.1. The User undertakes to:

  1. provide accurate, up-to-date, and complete information about themselves when filling out forms on the Site (including name, phone number, email address, delivery address, Taxpayer Identification Number (for legal entities));
  2. promptly update the provided information in case of changes;
  3. not use the Site to commit unlawful acts (distribution of viruses, malicious code, spam, etc.) or to post extremist or offensive materials;
  4. not copy, reproduce, distribute, or otherwise use information and materials published on the Site without the written permission of the Operator;
  5. independently review the current version of the Terms each time they visit the Site.

4.2. The User has the right to:

  1. receive information about the status of their Order;
  2. contact the Operator for clarification on any matters related to the use of the Site and the purchase of Goods via the contacts specified in Section 10;
  3. withdraw their consent to the processing of their personal data by sending a corresponding notice to info@unigeniq.com.

4.3. The Operator undertakes to:

  1. ensure round‑the‑clock access to the Site, except during scheduled maintenance or technical failures not caused by the Operator;
  2. not disclose the User's personal data to third parties, except in cases expressly provided for by the applicable legislation of the Russian Federation, for the performance of a contract (e.g., transferring data to a delivery service), or with the User's consent;
  3. process the User's personal data in accordance with the requirements of Federal Law No. 152‑FZ of 27.07.2006 "On Personal Data".

4.4. The Operator has the right to:

  1. temporarily suspend the operation of the Site for necessary maintenance and repair work;
  2. amend the Terms by posting the new version on the Site;
  3. collect, process, and store technical information transmitted by the User's browser (IP address, device and browser information, cookie data) in order to improve the Site's performance and collect statistics.

5. Liability of the Parties

5.1. The Operator shall not be liable for:

  1. interruptions in the operation of the Site caused by reasons beyond the Operator's control (e.g., failures of internet service providers, hosting providers);
  2. any indirect damages suffered by the User as a result of using or being unable to use the Site;
  3. the content and accuracy of information provided by the User when filling out forms on the Site.

5.2. The User bears full responsibility for the security and confidentiality of their personal data (logins, passwords, if used), as well as for all actions performed using their account.

5.3. In the event of a breach of these Terms by the User, the Operator reserves the right, without notice, to block the User's access to the Site, including access to their personal account (if any).

6. Confidentiality and Personal Data

6.1. The Operator's policy regarding the processing of personal data, including the collection, storage, use, transfer, and protection of personal data, is set out in a separate document – the Privacy Policy, available on the Site at https://unigeniq.com/privacy-policy.

6.2. By filling out any forms on the Site and clicking the "Submit" / "Place Order" button, the User confirms that they have read the said Policy and express their consent to the processing of the provided personal data for the purposes specified therein.

6.3. In accordance with paragraph 1.3 of Article 9 of Federal Law No. 152‑FZ, withdrawal of consent to the processing of personal data is carried out by sending a written notice to info@unigeniq.com.

7. Limitation of Liability for Goods

7.1. All information about the Goods presented on the Site (including descriptions, specifications, images) is for reference purposes only and is not exhaustive. The final decision regarding the selection of Goods is made by the User.

7.2. The Operator shall not be liable for any consequences arising from the use of the Goods in the event that the User fails to comply with the instructions for use or other recommendations of the manufacturer.

8. Intellectual Property

8.1. All materials posted on the Site (texts, graphics, logos, product images, design, etc.) are objects of intellectual property belonging to the Operator or the right holders used by the Operator, and are protected by the legislation of the Russian Federation.

8.2. No materials on the Site may be copied, reproduced, distributed, published, or otherwise used without the prior written permission of the Operator.

9. Final Provisions

9.1. These Terms shall be governed by and construed in accordance with the laws of the Russian Federation.

9.2. Any disputes or disagreements arising out of or in connection with these Terms shall be resolved through negotiations. If no agreement is reached, disputes shall be settled in court in accordance with the applicable legislation of the Russian Federation at the location of the Operator.

9.3. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
