Nametkina, building 10 B, hereby publishes this text, which is an official offer (public offer) addressed to any individual or legal entity (hereinafter – the "Buyer") to conclude a contract for the sale of goods by remote means on the terms set out below.

1. TERMS AND DEFINITIONS

1.1. "Offer" – this document "Public Offer", posted on the Internet at https://unigeniq.com/public_offer, containing the Seller's proposal to the Buyer to conclude a contract for the sale of goods by remote means.

1.2. "Acceptance of the Offer" – full and unconditional acceptance of the terms of this Offer by performing the actions specified in paragraph 4.2. hereof. Acceptance of the Offer creates a legally binding purchase and sale agreement under the terms of the Offer (Article 438 of the Civil Code of the Russian Federation).

1.3. "Site" – the Seller's website located at https://unigeniq.com, which displays the Goods offered for sale by the Seller, as well as the terms of payment, delivery and return of Goods.

1.4. "Goods" – medical devices (including Ivory Dentin Graft™), consumables and other goods offered for sale on the Site, information about which (name, price, description, characteristics) is provided to the Buyer in the product card on the Site.

1.5. "Order" – a duly completed request from the Buyer on the Site for the purchase of selected Goods, containing information about the Buyer, delivery address, quantity and assortment of Goods.

2. GENERAL PROVISIONS

2.1. This Offer is an official proposal of the Seller addressed to an indefinite circle of persons to conclude a contract for the sale of Goods by remote means (clause 2 of Article 437 of the Civil Code of the Russian Federation).

2.2. Relations in the field of consumer protection are governed by the Law of the Russian Federation "On Protection of Consumer Rights" dated 07.02.1992 No. 2300-1 and the Rules for the Sale of Goods under a Retail Purchase and Sale Agreement, approved by Decree of the Government of the Russian Federation No. 2463 of 31.12.2020.

2.3. The Seller has the right to unilaterally amend this Offer without prior notice to the Buyer. The new version of the Offer comes into force from the moment it is posted on the Site at https://unigeniq.com/public_offer. Orders placed before the Offer is amended shall be fulfilled under the terms in effect at the time they were placed.

2.4. Information about the Goods, their consumer properties, rules and effectiveness of use, as well as information about the main consumer properties, place of manufacture, warranty period and shelf life of the Goods is provided to the Buyer in the product card on the Site.

2.5. If the Goods requested by the Buyer are out of stock, the Seller has the right to exclude such Goods from the Order, notifying the Buyer thereof, or to offer the Buyer a replacement with a similar Good.

2.6. Specifics of selling medical devices: The Seller warns the Buyer of the need to carefully study the instructions for use of the medical device, posted in the product card or supplied together with the Goods. Before using a medical device, it is recommended to obtain advice from a qualified specialist.

3. SUBJECT MATTER OF THE AGREEMENT

3.1. The Seller undertakes to transfer ownership of the Goods selected by the Buyer on the Site and paid for in accordance with the terms of this Offer, and the Buyer undertakes to accept and pay for the Goods in the manner and on the terms set out in this Offer.

3.2. The name, assortment, quantity, price of the Goods, as well as other necessary information, are determined by the Buyer when placing the Order on the Site. The terms and conditions of delivery, information about the product and price are indicated on the Site.

3.3. This Agreement shall be deemed concluded from the moment the Buyer accepts the Offer and shall remain in force until the Parties fully perform their obligations.

4. ORDER PLACEMENT AND ACCEPTANCE OF THE OFFER

4.1. The Goods are ordered by the Buyer independently on the Site through the order form.

4.2. Acceptance of the Offer (i.e., the moment of conclusion of the purchase and sale agreement) is considered to be the Buyer clicking the "Place Order" button (or a similar button) and full payment of the Order.

4.3. When placing an Order, the Buyer undertakes to provide the following information:

  1. Last name, first name, patronymic (if any) of the Buyer or an authorized person;
  2. Contact phone number;
  3. Email address;
  4. Delivery address of the Goods (if delivery is carried out by the Seller);
  5. Other data necessary for proper execution of the Order.

4.4. After placing the Order, the Buyer receives a confirmation to the email address provided. The Seller reserves the right not to accept the Order if the information provided by the Buyer is incomplete or raises doubts about its accuracy, with mandatory notification of the Buyer.

5. PRICE OF GOODS AND PAYMENT PROCEDURE

5.1. The price for each item of Goods is indicated on the Site in Russian rubles, including all taxes and fees.

5.2. The Seller has the right to unilaterally change prices for Goods displayed on the Site. A change in the price of Goods already paid for by the Buyer is not allowed (clause 3 of Article 310 of the Civil Code of the Russian Federation).

5.3. Payment for the Goods is made by the Buyer as a 100% prepayment, unless otherwise provided in the product card or under special terms.

5.4. Payment methods:

  1. Online by bank card on the Site through an integrated payment service;
  2. By bank transfer for legal entities (by invoice).

5.5. The Buyer's payment obligations shall be deemed fulfilled from the moment funds are credited to the Seller's bank account.

6. TERMS OF DELIVERY OF GOODS

6.1. Delivery of Goods is carried out by a delivery service specified on the Site in the "Delivery" section, or by another means as agreed by the Parties.

6.2. The cost of delivery is determined individually depending on the method of delivery, the remoteness of the delivery address and other factors, and is communicated to the Buyer when placing the Order.

6.3. Ownership of the Goods, as well as the risk of accidental loss or damage to the Goods, passes to the Buyer from the moment the Goods are actually transferred to the Buyer and the transfer document is signed.

6.4. The Buyer is obliged to inspect the Goods upon receipt for damage, shortages, conformity to the ordered assortment and completeness. If defects are found, the Buyer must immediately notify the Seller and make a note in the accompanying documents.

7. RETURN AND EXCHANGE OF GOODS

7.1. The Buyer has the right to refuse the Goods of proper quality at any time before their transfer, and after transfer — within 7 (seven) days (Article 26.1 of the Law of the Russian Federation "On Protection of Consumer Rights").

7.2. Return of Goods of proper quality is possible only if their appearance, consumer properties, seals, factory labels are preserved, as well as if there is proof of the fact and conditions of purchase of such Goods (cash receipt or sales receipt).

7.3. IMPORTANT: Goods of proper quality belonging to the category "medical devices" in accordance with Decree of the Government of the Russian Federation No. 2463 of 31.12.2020 are NOT SUBJECT TO RETURN OR EXCHANGE. The Buyer is obliged to carefully read the instructions for use and characteristics of the Goods before purchasing them.

7.4. If defects are found in Goods of inadequate quality (defect, inconsistency with the description, etc.), the Buyer has the right to:

  1. demand replacement with Goods of proper quality;
  2. a proportionate reduction in the purchase price;
  3. free elimination of defects;
  4. refuse to perform the Agreement and demand a refund of the amount paid for the Goods.

7.5. The refund of money is made in the same way as the payment was made, within 10 (ten) business days from the date the Seller receives the returned Goods and draws up an acceptance certificate.

7.6. To effect a return (exchange), the Buyer must send a written application to the Seller's email address: info@unigeniq.com. The application shall include: the Buyer's full name, Order number, reason for return (exchange), method of refund.

8. LIABILITY OF THE PARTIES

8.1. For non-performance or improper performance of the terms of this Agreement, the Parties shall be liable in accordance with the legislation of the Russian Federation.

8.2. The Seller shall not be liable for any losses incurred by the Buyer as a result of failure to follow the recommendations for use of the Goods set out in the instructions, or as a result of the Buyer providing inaccurate information when placing the Order.

8.3. The Seller shall not be liable for the Buyer's ignorance of the rules and prohibitions related to the distance selling of medical devices, in terms of restrictions on returns and exchanges, since such information has been brought to the Buyer's attention in this Offer (Section 7).

9. FORCE MAJEURE

9.1. The Parties shall be released from liability for non-performance or improper performance of obligations under the Agreement if it was caused by force majeure circumstances that arose after the conclusion of the Agreement as a result of extraordinary events that the Party could not foresee or prevent.

9.2. The Party for whom performance of obligations has become impossible must immediately notify the other Party of the occurrence of such circumstances.

10. CONFIDENTIALITY AND PROTECTION OF PERSONAL DATA

10.1. The processing of the Buyer's personal data is carried out in accordance with the Privacy Policy posted on the Site at https://unigeniq.com/privacy-policy and the Federal Law of 27.07.2006 No. 152-FZ "On Personal Data".

10.2. By providing their personal data when placing an Order, the Buyer consents to their processing by the Seller for the purpose of performing this Agreement (order processing, delivery, feedback).

12. FINAL PROVISIONS

12.1. This Offer shall enter into force from the moment it is posted on the Site at https://unigeniq.com/public_offer and shall be valid indefinitely until revoked by the Seller.

12.2. In all other respects not regulated by this Offer, the Parties shall be governed by the applicable legislation of the Russian Federation.

12.3. All disputes and disagreements arising out of or in connection with this Agreement shall be resolved through negotiations. If no agreement is reached, disputes shall be subject to judicial review in accordance with the legislation of the Russian Federation at the location of the Seller
